1.Who these terms are between
Selan is operated by Selan UAB, a private limited liability company registered in Lithuania under company code 308105472, reachable at info@selan.ai (“Selan”, “we”). Earlier versions of these terms were with an individual and said they would be reassigned to a company if one were formed. That company is Selan UAB, and this is that reassignment.
You are contracting with the company named above. Its registered address is given on request — ask at info@selan.ai and you will have it the same day.
These terms are between us and the organisation trying the service (“you”). If you accept on behalf of an organisation, you confirm you are authorised to.
Selan is for organisations and their staff, not consumers. Nothing here is intended to reduce a right that a person cannot contract away.
2.What Selan is — and what it is not
Selan is a management layer. It sits between your developers’ tools and the AI providers you already have accounts with, and it does four things: it signs your people in, it hands the right credential to the right request, it records what was used and by whom, and it stops requests that would exceed a limit you set.
Selan is not an AI provider. We do not train, host, run or operate any model. We do not resell provider capacity. Every request you make is served by the provider whose account and credential you supplied — Anthropic, OpenAI, Google Vertex, OpenRouter, nexos.ai, a model you host yourself, or another you connect later — under your agreement with them, on your account, at your cost.
3.Your provider accounts
This is the most important section in these terms, so it says the same thing several ways.
- The relationship with each provider is yours, not ours. We are not a party to it. We have no account with them on your behalf, no control over it, and no ability to change, pause, refund or dispute anything on it.
- Their terms apply to you. You are responsible for reading and complying with the terms, acceptable-use policies and rate limits of every provider you connect, and for making sure your people do the same. If a provider suspends, throttles, bills or terminates your account, that is between you and them.
- All usage and all charges on those accounts are yours. That includes usage we routed, usage we did not, usage by a person you authorised, and usage by a person who obtained access through you. We do not verify the purpose of a request, and we do not read what is in it.
- You must set your own spending limits with each provider. Selan’s limits are a convenience layer and they are not a substitute for the controls the provider gives you. We may be unable to stop spend — for example during an outage of ours, if a request does not pass through Selan at all, if a provider reports usage late or not at all, or if a credential is used outside Selan. Set a hard cap at the provider.
- Credentials must be yours to use. You confirm you are entitled to supply every credential you add and to have it used the way Selan uses it.
We are not accountable for what happens on a provider account. Not for its usage, its cost, its availability, its rate limits, the content it produces, or any decision anyone takes based on that content.
4.Your responsibilities
- Keeping your own accounts, devices and sessions secure, and telling us promptly if you believe a session or credential has been compromised.
- Who you invite, what role you give them, and removing them when they leave.
- Everything done through your organisation’s access, whether or not you authorised it.
- Not attempting to reach another organisation’s data, probe or overload the service, or reverse engineer it beyond what law permits.
- Setting limits at your providers, as described above.
5.Availability
The service is provided on an “as available” basis. We do not commit to any uptime figure, response time or maintenance window unless we have agreed one with you in writing and signed. We may change, suspend or withdraw features, and we will give reasonable notice of a material change where we can.
Selan sits on the request path. If Selan is unavailable, requests through it fail. Providers can be reached directly with your own credentials, which is one reason the credential remains yours.
6.Security — what we do, and what we cannot promise
What we actually do, today:
- Provider credentials are encrypted before they are stored, with the key held in a managed secret store, and are never displayed back — not even to whoever added them.
- Data is separated by organisation, and every read is scoped to the organisation making it.
- Prompts and responses are not stored. Requests stream through; we read token counts, the model name and the status, and nothing about the content. See the Privacy Policy.
- Sessions are held as hashes rather than as the token itself, expire, and can be revoked.
None of that is a guarantee. No method of storage or transmission is completely secure. We describe our measures so you can assess them; we do not warrant that they cannot fail, and to the extent the law allows we are not liable if they do.
7.Fees
Early access is free. We charge nothing and invoice nothing. If that ever changes you will be told well in advance and asked to agree before any charge.
What is never free is your provider usage. Anthropic, OpenAI, Google Vertex, OpenRouter, nexos.ai and any other provider you connect bill you directly, on your own account, at their prices. We never see that money and never bill it.
8.No warranties
To the fullest extent permitted by law, the service is provided “as is” and “as available”, without warranty of any kind, whether express, implied or statutory — including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement.
We do not warrant that the service will be uninterrupted or error-free, that limits will always be enforced, that usage figures or cost figures will be complete or accurate, or that any model output is correct, lawful or fit for any purpose. Cost and usage figures are our best reading of what providers report, and providers report late, incompletely and sometimes not at all.
9.Limitation of liability
To the fullest extent permitted by law:
- We are not liable for indirect, incidental, special or consequential loss, nor for loss of profit, revenue, business, goodwill, anticipated savings, or data — however caused.
- We are not liable for anything arising from a provider account: its usage, its charges, its suspension, its rate limits, its availability, or the content produced through it. This includes spend that a Selan limit did not prevent.
- Because the service is free, there are no fees to measure a cap against. Our total liability for all claims is therefore capped at €100 in aggregate. A cap of nothing at all is the kind a court sets aside, which would help neither of us.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for wilful misconduct or gross negligence, or under mandatory data-protection law.
10.Indemnity
You will indemnify us against claims, losses and costs arising from your use of the service, from your provider accounts and their usage, from content submitted or produced through your access, and from your breach of these terms or of a provider’s terms.
11.Confidentiality and data protection
Each of us will keep the other’s non-public information confidential. Our handling of personal data is described in the Privacy Policy. Where we process personal data on your behalf, we will sign a data processing agreement on request — ask at info@selan.ai.
12.Term, suspension and termination
Either of us may stop at any time, for any reason, without notice — that is what early access means. We may suspend access immediately where we reasonably believe there is a security risk, unlawful use, or non-payment. On termination your access ends and your data is deleted or returned as described in the Privacy Policy. Your credentials remain yours throughout — revoke them at the provider whenever you wish, which takes effect regardless of anything we do.
13.Changes to these terms
We may update these terms. If a change materially reduces your rights we will give reasonable advance notice by email or in the product. Continuing to use the service after a change takes effect means you accept it.
14.Governing law
These terms are governed by the law of Lithuania, and the courts of Vilnius have exclusive jurisdiction. If any provision is unenforceable, the rest stands.
